Understanding the Corporate Transparency Act

Is your business compliant with the Corporate Transparency Act (CTA)? This new regulation aims at eliminating the anonymity of business ownership, requiring nearly all corporations and LLCs in the U.S. to submit beneficial ownership information to the Financial Crimes Enforcement Network (FinCEN). Regardless of where your company is established, the CTA mandates U.S. corporations and LLCs to report ownership details to FinCEN.  FinCEN plays a critical role in thwarting money laundering and terrorism financing, and now they are requiring businesses to step up to the plate for greater transparency.

Defining Beneficial Ownership

Under the CTA, a ‘beneficial owner’ is someone with substantial control or a significant ownership stake in a company (31 U.S.C. § 5336(a)(11)). The Act mandates that companies provide detailed information on these individuals, including names, birth dates, addresses, and identification numbers, unless they are publicly traded or subject to substantial regulatory oversight (31 U.S.C. § 5336(a)(2)).

Compliance and Penalties

Businesses must now maintain up-to-date records of their beneficial owners and submit a report to FinCEN. This information is tightly held and only accessible by FinCEN unless a court order, law enforcement investigation, or certain other conditions necessitate access. 

Entities formed before January 1, 2024, have a grace period of one year to file their beneficial ownership information. For those established afterward, the clock ticks faster with a 90-day deadline post-formation. Missing these deadlines can lead to hefty penalties, including fines of up to $500 per day and possible imprisonment for willfully providing false information (31 U.S.C. § 5336(h)).
